In a divestment, Carnegie’s project team analyses and evaluates the business for sale to identify the key value drivers and any negative factors to be remedied in advance of negotiations. In parallel, potential buyers are identified and screened for strategic fit, timing and financial ability, and a specific sales process is selected and an optimal transaction structure outlined. Carnegie typically manages the entire process; from early-stage analysis and valuation and production of a full prospectus / information memorandum, through initial contacts with potential buyers, site visits, management presentations, and negotiations, to the final closing details. Carnegie normally also co-ordinates the legal, tax and accounting advisers throughout all stages of the transaction.
In public offers, Carnegie provides clients with in-depth knowledge of local market rules, codes and practices, as well as a thorough understanding of shareholder preferences, pricing and timing issues. In privately negotiated acquisitions, Carnegie’s proven ability to orchestrate negotiations and organise and lead efficient due diligence processes is a key strength in often fiercely competitive bidding situations for attractive companies.
Independent statistics maintained by ThomsonReuters show that Carnegie, since the year 2000, has advised clients in 500 announced M&A transactions, with a deal value (where value is disclosed) approaching USD 120 billion. These transactions include Nordic domestic and cross-border deals, inward acquisitions by non-Nordic firms, acquisitions by Nordic firms in Europe, Asia and North America and divestments using controlled auction techniques targeting a global buyer universe.
